Spirit Triathlon Volunteer Agreement

This Volunteer Agreement ("Agreement") is entered into by and between Spirit Triathlon (the “Organization”) and the Volunteer (the "Volunteer") as of the Effective Date set forth below. By agreeing to this Agreement, you confirm your role as a volunteer and your commitment to the terms and conditions outlined below.
1. Nature of Volunteer Engagement
The Volunteer acknowledges and agrees that participation with Spirit Triathlon is entirely voluntary.
The Volunteer understands they are not an employee, contractor, or consultant of Spirit Triathlon and will not receive monetary compensation, benefits, or any other form of remuneration for their services.
The Volunteer agrees not to pursue any claims for compensation or remuneration now or in the future unless a separate written agreement explicitly providing for such compensation is executed by both parties.
2. Ownership of Intellectual Property and Contributions
During your time volunteering, you may create or contribute to materials, ideas, or work related to Spirit Triathlon's activities, including but not limited to designs, photos, strategies, documents, or marketing assets ("Proprietary Property").
Any such contributions are the sole property of Spirit Triathlon, and you assign all rights to Spirit Triathlon, including intellectual property rights such as copyrights, trademarks, patents, and trade secrets.
Any materials or ideas created by Spirit Triathlon, during Spirit Triathlon events, or using Spirit Triathlon resources will also be considered Proprietary Property, even if created outside of regular volunteer hours.
3. Understanding Roles and Responsibilities
The Volunteer agrees to fully read and comprehend the roles and responsibilities assigned to them as part of their volunteer engagement.
The Volunteer will make their best effort to understand their duties and perform them to the best of their ability.
If the Volunteer requires additional clarification, help, or training to effectively carry out their responsibilities, they agree to proactively communicate with Spirit Triathlon staff or coordinators to seek the necessary support.
4. Confidentiality and Non-Disclosure
As a volunteer, you may gain access to confidential or sensitive information regarding Spirit Triathlon’s operations, participants, sponsors, or partners ("Confidential Information").
You agree to keep all Confidential Information private and not to disclose or use it for any purpose other than supporting Spirit Triathlon’s activities.
Restriction on Using Spirit Triathlon’s Intellectual Property: You agree that you will not use, replicate, or adapt any of Spirit Triathlon’s proprietary information, branding, strategies, or concepts to start your own triathlon event, sports program, or similar initiative, either during or after your time volunteering.
Any attempt to create a competing event or program using Spirit Triathlon’s intellectual property, materials, or concepts will constitute a breach of these Terms and Conditions, and Spirit Triathlon reserves the right to pursue legal remedies.
Upon completion of your volunteer role or upon request, you agree to return or destroy all Confidential Information.
You agree to NOT copy, transfer, or duplicate any information onto another device, to store it locally, to create documents in your own personal drive, and to keep all files and folders in the shared group Google Drive.
5. Use of Digital Tools and Resources
Volunteers are required to store all Spirit Triathlon-related work in shared platforms provided by Spirit Triathlon (e.g., Google Drive, Figma, Canva).
Spirit Triathlon must have full administrative access to all files, accounts, and assets created or managed as part of your volunteer duties.
6. Release of Liability
Assumption of Risk: You acknowledge that volunteering at Spirit Triathlon events may involve risks, including but not limited to physical, emotional, or financial challenges. By participating, you voluntarily assume all risks associated with your role.
Release of Claims: You agree to release Spirit Triathlon, its organizers, staff, and partners from any liability or claims for personal injury, property damage, or financial loss incurred while volunteering.
Indemnification: You agree to indemnify and hold Spirit Triathlon harmless from any claims brought by third parties arising out of your participation.
7. Commitment to Non-Infringement
You agree not to use or introduce any proprietary or copyrighted material belonging to a third party in connection with your volunteer activities unless you have proper authorization to do so.
Spirit Triathlon is not responsible for any infringement claims arising from your unauthorized use of third-party materials.
8. Post-Volunteer Obligations
Even after your role as a volunteer ends, you agree to continue honoring the confidentiality, non-disclosure, and intellectual property terms outlined in this agreement.
You waive all moral rights to any contributions made to Spirit Triathlon, meaning you will not claim authorship or seek modifications to such work.
9. Governing Law and Dispute Resolution
These terms are governed by the laws of the Province of British Columbia, Canada.
Any disputes arising from this agreement will be resolved under the jurisdiction of British Columbia courts.
10. Miscellaneous Provisions
Entire Agreement: This document constitutes the entire agreement between you and Spirit Triathlon concerning your role as a volunteer.
Severability: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
Term: The confidentiality and intellectual property provisions will remain effective for ten (10) years from the date of your volunteer engagement, or longer if legally required.
By agreeing to these Terms and Conditions, you confirm that you understand and accept your responsibilities and obligations as a Spirit Triathlon volunteer.
